Company's strategic change due to merger or acquisition

The dissertation’s subject matter is mergers and acquisitions (“M&A”). The reason standing behind the dissertation is the ever growing number of announced M&A transactions around the world. The research shows why M&A are important for the company management and why managers today see them as one of the greatest challenges. The work includes a chapter dedicated to the history of M&A and its current state, which has been affected by the financial crisis. One of the main objectives of the dissertation is to connect the economic and legal views on M&A. The work confronts theoretical knowledge with actual M&A cases. In order to provide a clearer understanding of M&A, cases of both successful and unsuccessful M&A transactions in various industries are described. The dissertation includes a detailed description of the specific stages in the M&A process. It deals with the preparatory stage, due diligence, implementation, and the subsequent integration of the two and more merged companies. The dissertation also provides evaluation of the individual stages’ importance. Special attention is given to the most frequent problems occurring during the entire M&A process: human resources and the integration process. In addition, the dissertation responds to the changes in economic environment that took place between the economic boom, at the beginning of the millennium, and the recession that commenced in autumn 2008. It also shows possible future developments in M&A. The dissertation was based on a review of the existing secondary sources; on primary research in companies with experience in M&A, and on collaboration with the tutor and other experts in the M&A field. On the grounds of secondary sources review, primary research, and discussions with experts, a guide on how to successfully implement an M&A transaction was prepared. The dissertation is to serve for didactic purposes in educating future managers, as a guide for companies’ management which implement M&A transaction, and should provide a basis for further research and scientific work in the M&A field. The dissertation’s conclusion evaluates hypotheses formulated prior to its elaboration.
Hedge Funds Analysis Focused on Legal Regulation

This Thesis aims at hedge funds analysis focused on legal regulation. Hedge funds are not very well-known in our country, they represent a specific kind of investment funds. A term which describes these funds most closely within our legal environment is "Funds of qalified investors". The first part of this Thesis is focused predominantely on general descsription of hedge funds, their histroy and specific features. The second part of the Thesis deals with strategy, legislation and some other aspects of hedge funds.
Bio-electromagnetic compatibility

Following work deals with problems of effects of electromagnetic radiation on living organisms. It goes into interactions of electromagnetic radiation with environment, effects on living organisms, physical units of biological tissues and sorting types of electromagnetic radiation to determine means of protection against adverse health reactions. It enlighten means of establishing sanitary restrictions, differences in legal aspects at Czech republic and worldwide, possible medical utilization, even principles of selected diagnostic and therapeutic techniques. It looks into shielding effects of common materials, ordinarily used for protection against ionizing radiation via findings of practical measurements. Series of radiofrequency measurements has been done with precise spectrum analyzers, which should reveal some basic problems of frequency bands, ordinarily used in current period.
INSTITUTIONAL ASPECTS OF EXPERT ACTIVITY

The thesis analyzes an expert in social (institutional) relations that constitute the organizational and institutional background of Forensic Expertise as part of forensic engineering. The work explains the terminology and definitions used, with the greatest attention is paid to the analysis of the conditions for the exercise of expert activities from different perspectives (in particular legal and economic). Is discussed in detail in particular the status of expert institutes, and in all contexts: both in terms of expertise and its guarantee, as well as in terms of responsibility processors appraisal institute. Further describes the work of existing associations and experts estimated their future development. An important part of the work is a comparison of the conditions for the exercise of expert activities (advantages and disadvantages) in selected European countries: Slovak Republic, England and Austria. Based on the findings in the final section are designed and justified by changes in the conditions and rules for the performance of expert activities and other related aspects.

This diploma thesis deals with basic questions of expert activities and a more detailed focus on issues coming up in relation to practical expert activities working out expert opinions, especially obtaining materials from executive bodies, authorities, partaking parties or the ordering party. This thesis consists of a questionnaire construction containing expert opinion by professional witnesses, of an analysis of the current legislation and consequent suggested options how to deal with the given issues.
Environmental legal aspects of climbing

The presented thesis analyzes legal regulation concerning protection of nature and landscape in relation to climbing in the Czech Republic. The aim of the thesis is to create a comprehensive overview on legal aspects of climbing and its critical analysis. For these reasons the thesis attends to another activity closely connected to climbing which is movement of persons in free nature. Rights of owners of properties as one of the important private law aspects is considered as well. The key part addresses itself to legal regulation of climbing in specially protected areas which are important locations for the subject activity. Conclusions of the thesis are based on not only legislative and regulatory acts, but many administrative decisions and measures of general nature issued by nature conservation authority. The thesis is divided into six thematically intertwined chapters. These chapters pursue a definition of climbing, an identification of reasons for which law regulation is needed and mainly presentation and analysis of legal regulation and legal aspects of climbing including issues of responsibility according to both private and public law. 1 Hunting and fishing in the light of selected environmental issues Abstract The diploma thesis focuses on the hunting and fishing in the light of selected environmental issues. Both hunting and fishing are activities that may serve as freetime activities, but their main purpose is nature conservation and as such should respond to the changes in nature brought about by climate change. The aim of this diploma thesis is to provide the reader with a basic insight into the legal regulation of hunting and fishing and to assess the current legal regulation in terms of preparedness for the changes in nature brought about by ongoing climate change. The second objective is pursued by answering three questions: "Does the Czech legislation sufficiently care about biodiversity conservation?", "Does the Czech legislation effectively combat invasive and non-native species?" and "Is Czech legislation prepared for the changes in animal behaviour that will inevitably occur in the context of climate change?". 53 Marriage law and today's society Abstract The thesis focuses on the comparison of social advance in the context of family, pointing out the relatively rapid development towards equality and the reduction of stigmas associated with unmarried cohabitation. This societal development is then confronted with the existing legal framework, especially in the Czech Republic. This thesis attempts to point out the rigidity of the legal system and to identify certain injustices resulting from it for the addressees of legal norms. This thesis is divided into 4 parts. The first part deals with the concept of family and how this phenomenon is perceived in terms of sociology. In part two, the thesis focuses on marriage, with particular emphasis on delineating the problems associated with marriage. Part Three then describes marriage in terms of different schools of thought, where marriage is analytically confronted with questions of the meaning and function of its existence in legal orders. Selected issue of electric personal means of transport movement

Diploma thesis The selected issue of electric personal means of transport movement is divided into three main parts. The theoretical part deals with the description of electric bicycles, electric scooters and electric skateboards. Furthermore, legislation, tuning and issues related to these means of transport. The second part is devoted to the current state of knowledge in this area. The last part is devoted to practical measurement, namely braking, acceleration, acceleration into curves, going through curves, transverse movement and deflection when looking back. There were 10 e-scooters with 9 different riders and 6 e-bikes with 12 different riders. At the end of the work, an overall evaluation is made.
Legal regulation of ski safety

Legal regulation of ski safety Abstract The work provides an insight into Italian and Czech ski law with an emphasis on the safety of ski areas and the practice of winter sports on snow, especially in their recreational form. In its first part, the study clearly maps the evolution of Italian legislation on the safety of winter sports with an emphasis on skiing from the 1960s to the present day. Special attention is paid to the current legislation after its extensive amendment (D.Lgs. 40/2021), bringing significant changes, effective from 1/1/2022. The study also focuses on the decision-making practice of Italian courts, presents recent doctrinal insights, outlines possible solutions and possibilities of harmonization of ski law in EU countries. The first chapter of this part is dedicated to the history of the Italian special legislation, mapping its development up to the current regulation, valid until the end of 2021. In addition, it logically describes the relevant, currently valid general regulation. It also includes a description of the origin of the FIS Rules, as a globally recognized code of conduct for skiers, which was created precisely in Italy, which underlines the importance of this skiing country in the international context.
